1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Learner") and Mindless Academy Ltd ("Mindless Academy", "we", "us", "our"), a company registered in England and Wales (company number 12341402).
By accessing or using the Mindless Academy platform and services (the "Platform"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
2. Eligibility
2.1 Age Requirements
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.
2.2 Account Registration
You agree to:
- • Provide accurate, current, and complete information during registration
- • Maintain and promptly update your account information
- • Maintain the security of your account credentials
- • Notify us immediately of any unauthorized use of your account
- • Accept responsibility for all activities that occur under your account
3. Access to Services
3.1 Types of Access
Access to the Platform may be provided through:
- • University Partnerships: Access arranged through your educational institution
- • Freemium Access: Free individual access to selected content and features
- • Other Arrangements: As otherwise agreed between you and Mindless Academy
3.2 University Partnership Learners
If your access is provided through a university partnership:
- • Your institution has agreed to terms that enable your participation
- • Your institution may receive reports on your progress, completion status, and related data
- • Your access may be subject to additional requirements or conditions set by your institution
- • Your access may be revoked at the request of your institution
3.3 Programme Participation
Access to certain experiences (including virtual work experience programmes) may require:
- • University partnership arrangements
- • Meeting specific eligibility criteria
- • Acceptance into specific cohorts or programmes
We reserve the right to determine programme eligibility and manage capacity.
4. Content Creation and Intellectual Property Rights
4.1 Your Content
When you participate in Mindless Academy programmes, you may create, submit, or upload content including but not limited to:
- • Written assignments and reflections
- • Project submissions
- • Challenge deliverables
- • Survey responses
- • Portfolio materials
- • Video, audio, or multimedia content
- • Any other materials created as part of your learning experience
(collectively, "Your Content")
4.2 License Grant to Mindless Academy
By submitting Your Content to the Platform, you grant Mindless Academy a perpetual, worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to:
- • Use, reproduce, modify, adapt, and create derivative works from Your Content
- • Publicly display, distribute, and publish Your Content
- • Include Your Content in marketing materials, case studies, and promotional content
- • Share Your Content with universities, employers, government agencies, and other partners
- • Use Your Content for research, reporting, and impact assessment purposes
4.3 Attribution
When Your Content is shared publicly (including on our website, social media, or marketing materials), we will provide appropriate attribution crediting you as the creator. When Your Content is shared with partners (universities, employers, government agencies) for reporting or assessment purposes, it will be attributed to you.
4.4 Ownership
You retain ownership of Your Content. The license granted above does not transfer ownership to Mindless Academy; rather, it permits us to use Your Content for the purposes described.
4.5 Your Representations
By submitting Your Content, you represent and warrant that:
- • You own or have the necessary rights to grant the license described above
- • Your Content does not infringe upon any third-party intellectual property rights
- • Your Content does not violate any applicable laws or regulations
- • Your Content does not contain defamatory, obscene, or offensive material
4.6 Platform Content
All content provided by Mindless Academy on the Platform (including courses, materials, branding, and technology) remains the intellectual property of Mindless Academy or our licensors. You may not copy, modify, distribute, or create derivative works from Platform content without our express written permission.
5. Data Sharing and Privacy
5.1 Data Collection
We collect and process personal information and data about your use of the Platform, including but not limited to:
- • Registration information (name, email, contact details, demographic information)
- • Academic information (university, course of study, student ID if provided)
- • Programme participation data (enrollments, progress, completion status)
- • Performance data (assessment results, submissions, engagement metrics)
- • Survey responses and feedback
- • Your Content (as defined in Section 4)
5.2 Data Sharing with Third Parties
By using the Platform, you acknowledge and consent to us sharing your personal information and data with:
Universities: If you are participating through a university partnership, we will share your progress reports, completion status, demographics, survey responses, and Your Content with your institution for academic, reporting, and assessment purposes.
Employers: If you participate in employer-sponsored challenges or work experiences, we may share relevant information about your participation, performance, and Your Content with the participating employer(s).
Government Agencies: We may share aggregated or individual data for research, impact assessment, policy development, or compliance purposes with UK government departments or agencies.
Other Partners: We may share your data with other educational institutions, research organisations, or partners for legitimate business purposes related to programme delivery, quality assurance, or impact measurement.
5.3 Optional Data
Certain questions or data fields may be marked as optional (such as questions relating to disability, mental health, or other sensitive characteristics). You may choose not to provide responses to optional questions without affecting your ability to participate in programmes.
5.4 Your Privacy Rights
Your use of the Platform is also governed by our Privacy Policy, which explains in detail how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.
Under UK data protection law (UK GDPR), you have rights including:
- • Right to access your personal data
- • Right to rectification of inaccurate data
- • Right to erasure (see Section 5.5)
- • Right to restrict or object to processing
- • Right to data portability

5.5 Data Retention and Deletion
We retain your personal data for as long as necessary to provide you with access to the Platform and our services, and to fulfill the purposes described in these Terms and our Privacy Policy.
- • Active Accounts: Data is retained while your account is active
- • Inactive Accounts: Data may be retained for up to 6 years after account inactivity or programme completion for business records, reporting obligations, and legitimate business purposes
- • Account Deletion: You may request deletion of your account and associated data by contacting info@mindlessacademy.com. We will process your request within 30 days, subject to any legal obligations to retain certain information.
Please note that even after deletion, certain data may be retained in anonymized or aggregated form, or where we have a legal obligation or legitimate interest to retain it.
6. Code of Conduct and Acceptable Use
6.1 Professional Conduct
The Platform may include opportunities for interaction with peers, educators, employers, and Mindless Academy staff through live sessions, community channels, or collaborative activities. You agree to:
- • Conduct yourself professionally and respectfully at all times
- • Treat all participants with dignity and courtesy
- • Refrain from harassment, discrimination, or bullying of any kind
- • Respect diverse perspectives and backgrounds
- • Maintain confidentiality where appropriate
6.2 Prohibited Activities
You agree not to:
- • Use the Platform for any unlawful purpose or in violation of these Terms
- • Impersonate any person or entity, or falsely represent your affiliation
- • Submit false, misleading, or fraudulent information
- • Engage in academic dishonesty, plagiarism, or cheating
- • Share, distribute, or publish content that is defamatory, obscene, threatening, or harassing
- • Attempt to gain unauthorized access to the Platform or other users' accounts
- • Introduce viruses, malware, or any other harmful code
- • Scrape, data-mine, or otherwise extract data from the Platform without authorization
- • Interfere with or disrupt the Platform or servers
6.3 Consequences of Violations
Violation of this Code of Conduct may result in:
- • Warning or temporary suspension of access
- • Permanent termination of your account
- • Notification to your university (if applicable)
- • Legal action where appropriate
7. Termination and Suspension
7.1 Termination by You
You may terminate your account at any time by contacting us at info@mindlessacademy.com. Upon termination, you will lose access to the Platform and your account data, subject to our data retention policies.
7.2 Termination or Suspension by Mindless Academy
We reserve the right to suspend or terminate your access to the Platform, with or without notice, for any reason including but not limited to:
- • Violation of these Terms or our Code of Conduct
- • Misrepresentation of information or fraudulent activity
- • Illegal activity or security threats
- • Harassment, misconduct, or behavior that negatively impacts other users
- • Academic dishonesty or violation of integrity standards
- • Prolonged inactivity (for freemium users, typically 12 months of no activity)
- • At the request of your university (for partnership learners)
- • For operational, legal, or business reasons
7.3 Effect of Termination
Upon termination:
- • Your right to access and use the Platform will immediately cease
- • Sections of these Terms that by their nature should survive termination will continue to apply (including Sections 4, 5, 8, 9, 10, and 11)
- • The license you granted to Your Content will remain in effect
8. Disclaimers and Limitation of Liability
8.1 Platform Provided "As Is"
THE PLATFORM AND ALL CONTENT, MATERIALS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Mindless Academy does not warrant that:
- • The Platform will be uninterrupted, secure, or error-free
- • The results obtained from using the Platform will be accurate or reliable
- • Any defects in the Platform will be corrected
- • The Platform will meet your specific requirements
8.2 No Educational Guarantees
While we strive to provide high-quality learning experiences, we make no guarantees regarding:
- • Academic credit or recognition by your institution
- • Employment outcomes or career advancement
- • Specific skills or competencies gained
- • Eligibility for certifications, qualifications, or awards
Any such outcomes depend on your individual effort, your institution's policies, and factors outside our control.
8.3 Third-Party Content and Links
The Platform may contain links to third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party content. Your use of third-party services is at your own risk and subject to their terms and conditions.
8.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MINDLESS ACADEMY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- • Your access to or use of (or inability to access or use) the Platform
- • Any conduct or content of any third party on the Platform
- • Unauthorized access, use, or alteration of your content or account
- • Any interruption or cessation of the Platform
IN NO EVENT SHALL MINDLESS ACADEMY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED £100 (ONE HUNDRED POUNDS STERLING).
8.5 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Mindless Academy, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees) arising out of or in any way connected with:
- • Your access to or use of the Platform
- • Your violation of these Terms
- • Your violation of any rights of another person or entity
- • Your Content or any claim that Your Content infringes third-party intellectual property rights
- • Your violation of any applicable law or regulation
10. General Terms
10.1 Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Platform.
10.2 Modifications to the Platform
We reserve the right to modify, suspend, or discontinue any aspect of the Platform (including content, features, or services) at any time, with or without notice, without liability to you.
10.3 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or relating to these Terms or the Platform.
10.4 Dispute Resolution
Before initiating any legal proceedings, you agree to first contact us at info@mindlessacademy.com to attempt to resolve any dispute informally. We will work in good faith to resolve disputes through negotiation.
10.5 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Mindless Academy regarding your use of the Platform, and supersede any prior agreements, understandings, or representations.
10.6 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
10.7 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
10.8 Assignment
You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign or transfer these Terms or any rights or obligations hereunder without restriction.
10.9 No Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Mindless Academy.
10.10 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or internet service provider failures.
